The eepro100 never really worked well for me in conjunction with bonding. I also use the e100/e1000 drivers as suggested by Brian.

Also note that the bonding architecture has gotten a major (actually huge) overhaul during the 2.4.21-preX <-> 2.4.23-preX phase. Among them is the possibility to set and change the MAC and the MTU in ALB/TBL modes, fixed arp monitoring, better 802.3ad support and proper locking.

You might wanna play with some of the never 2.4.23-pre kernels or at least with 2.4.22 if the problem persists, then again it's highly time-consuming to follow latest ("stable") development kernels currently.
